1. Acceptance of Terms

By using this website (smilebrightcapital.com) and the services of SmileBright Capital ("we," "us," "our"), you agree to these terms. If you do not agree, do not use this site or our services.

2. Services

SmileBright Capital facilitates business funding for US-based operating businesses. We are not a bank. We work with lending partners and alternative financing options. Funding products may include working capital, equipment financing, lines of credit, term loans, revenue-based financing, and SBA loans.

3. Eligibility

To use our services, you must: (a) be a business owner or authorized representative of a US-based operating business, (b) be at least 18 years old, (c) have a business with valid EIN operating legally in the United States, (d) meet the minimum qualification requirements posted on this site, which may include minimum monthly revenue, time in business, and credit score requirements.

4. Application and Approval

Your application is subject to underwriting review. Approval and terms vary based on your business, revenue, credit profile, and banking history. Application does not guarantee approval. We reserve the right to decline any application at our sole discretion.

5. Accurate Information

You certify that all information provided is true, complete, and not misleading. Providing false information may result in application denial, termination of service, and potential legal action.

6. Funding Terms

If approved, specific terms (amount, rate, term length, payment structure, total cost) will be provided in your written offer document. Accept terms only after fully reviewing. There is no obligation to accept any offer.

7. Repayment

Repayment terms are specified in your accepted offer. ACH authorization for repayment is typically required. Late or missed payments may result in fees and credit reporting. Default may result in collection activity.

8. Limitation of Liability

SmileBright Capital is not liable for: (a) decisions of third-party lenders, (b) consequences arising from your use of funds, (c) site interruptions or technical failures. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Intellectual Property

Site content (text, graphics, code, design) is the property of SmileBright Capital. You may not copy, distribute, or use our content without written permission.

10. User Conduct

You agree not to: (a) use the site for illegal purposes, (b) attempt unauthorized access, (c) interfere with site operation, (d) use bots or scrapers without permission, (e) submit applications on behalf of others without authorization.

11. Modifications

We may modify these terms. Continued use after changes constitutes acceptance. The "Last updated" date will reflect modifications.

12. Governing Law

These terms are governed by the laws of the United States and the applicable laws of the state in which SmileBright Capital is organized, without regard to conflict-of-law principles. Any disputes will be resolved in a court of competent jurisdiction.
